Terms and Conditions
These Terms govern your access to and use of the MindBridge website and services (the “Services”), provided by MindBridge (“MindBridge”, “we”, “us”), a business operating in the United Arab Emirates. By visiting our website, requesting a demo or subscribing to the Services, you agree to these Terms. If you accept them on behalf of a business, you confirm you have authority to bind that business (“you”, “Client”).
1. The Services. MindBridge provides AI-powered assistants that help businesses respond to and onboard their own customers through messaging channels. The specific scope, channels and features for each Client are set out in a proposal, order form or written confirmation (the “Order”). If an Order conflicts with these Terms, the Order prevails for that Client.
2. Eligibility and business use. The Services are intended for businesses and professionals aged 18 or over. You must provide accurate information and keep it up to date.
3. Accounts and access. You are responsible for activity under your account and for keeping credentials confidential. Tell us promptly if you suspect unauthorised access. We may suspend access where needed to protect the Services or other users.
4. Client responsibilities. You are responsible for the information, documents and instructions you give us, and for having the right to provide them. You must: (a) have a lawful basis, and where required consent, to message your customers through the assistant; (b) comply with the terms and policies of the messaging platforms you connect; (c) give your customers a clear way to opt out; and (d) review how the assistant presents your business.
5. Acceptable use. You must not use the Services to: break any law; send spam or unsolicited bulk messages; harass, deceive or impersonate others; share unlawful, hateful, sexually explicit or infringing content; promote regulated or prohibited goods or services; attempt to disrupt, reverse engineer or gain unauthorised access to the Services; or use the Services to build a competing product. We may suspend or end access for breach of this section.
6. AI-generated responses. The assistant uses artificial intelligence. Responses are generated automatically and may occasionally be incomplete, inaccurate or out of date. The assistant does not give legal, financial, medical or other professional advice and should not be relied on for such decisions. You agree that your customers will be told they are talking to an AI assistant, and that you remain responsible for your own business decisions and commitments.
7. Third-party platforms. The Services work with third-party messaging, hosting and software platforms. We do not control them, and their availability, rules or changes may affect the Services. Your use of those platforms is subject to their own terms.
8. Fees and payment. Fees, billing cycle and payment method are stated in your Order. Unless the Order says otherwise: fees are payable in advance, are exclusive of applicable taxes including UAE VAT, and are non-refundable except where required by law. We may change prices for future billing periods with at least 30 days' written notice. Late payments may result in suspension after written reminder.
9. Term and cancellation. Your subscription starts on the date stated in the Order and renews for the same period unless either party gives written notice at least 30 days before the renewal date. We may end the Services immediately for material breach, non-payment or unlawful use. On ending, you stay liable for fees already due.
10. Intellectual property. We and our licensors own the Services, software, workflows, designs, prompts, templates and branding, and nothing in these Terms transfers ownership to you. You keep ownership of your own content, logos and customer data. You give us a limited licence to use your content only to provide and improve the Services for you. We may reference that you are a client unless you tell us not to.
11. Confidentiality. Each party will keep the other's non-public business information confidential, use it only for the Services, and disclose it only to people who need it or where law requires.
12. Data protection. How we handle personal data is described in our Privacy Policy. Where we process your customers' personal data on your behalf, we do so on your instructions and with appropriate security measures, and you act as the party responsible for that data.
13. Availability and changes. We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. We may carry out maintenance and may update, improve or discontinue features, giving reasonable notice of material changes where practical.
14. Disclaimers. To the fullest extent permitted by law, the Services are provided “as is” and “as available”. We do not promise particular business results, such as sales, conversions or response outcomes.
15. Limitation of liability. To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, revenue, goodwill or data. Our total liability arising from the Services in any 12-month period is limited to the fees you paid us in that period. Nothing in these Terms excludes liability that cannot be excluded under UAE law, such as for fraud or gross negligence.
16. Indemnity. You will compensate us for claims, losses and costs arising from your breach of these Terms, your content or instructions, or your unlawful use of the Services.
17. Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control, including outages of internet, utilities or third-party platforms, natural events, government action or cyber attacks.
18. Changes to these Terms. We may update these Terms. The updated version applies from the “Last updated” date; for material changes we will notify active Clients. Continued use means you accept the changes.
19. Governing law and disputes. These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The parties will first try to resolve any dispute in good faith for 30 days. Failing that, the courts of Dubai have exclusive jurisdiction.
20. General. These Terms and the Order are the entire agreement between us on their subject. If a provision is unenforceable, the rest stays in force. Failing to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer. Notices may be sent to the email addresses on record.
